| Your quote | Itemised: Talent Fee (collected on behalf of the Talent) + Models Island Agency Fee + any Permit Costs and pre-agreed Expenses. |
| Payment | 100% of the Booking Fee, paid before the Job Date, by card (Stripe) or bank transfer. A Booking is confirmed only when we receive cleared funds. Card payments appear as "MODELS ISLAND". |
| VAT | Ravinaro L.L.C-FZ is not currently registered for VAT; no VAT is charged. |
| If you cancel | More than 7 days before: a credit note for 100% (default) or a 50% cash refund if you ask for it. 48 hours to 7 days: 25% cash refund. Less than 48 hours / no-show: no refund. Amounts kept compensate the Talent for the reserved date (clause 13). |

1. About us and these Terms
1.1 Who we are. "Models Island" is a brand and service operated by Ravinaro L.L.C-FZ, a limited liability company licensed in the Meydan Free Zone, Dubai, UAE (licence no. 2543079.01), registered address Meydan Grandstand, 6th Floor, Meydan Road, Nad Al Sheba, Dubai, UAE ("Models Island", "we", "us", "our"). Contact: hello@modelsisland.com · +971 58 941 0099 · www.modelsisland.com.
1.2 What these Terms cover. These Terms govern every request, Quote, Booking and Booking Confirmation between us (acting for ourselves and as agent for the Talent) and the person or organisation booking talent through Models Island (the "Client", "you"). They cover bookings of models (women and men, and children under Schedule 1), dancers, DJs, and influencers and UGC creators (each "Talent"), and licences of AI-generated Virtual Models (Schedule 2). Models Island does not supply production crew (such as photographers, videographers, make-up artists or stylists); you engage and are responsible for your own production team.
1.3 Master agreement. You accept these Terms once and the version you accepted is incorporated into every Booking you make while it is current. Each Booking Confirmation records the version of these Terms that applies to it. A new version applies only to Quotes you accept after you have been shown and have accepted it.
1.4 Order of precedence. If documents conflict: (a) specific terms in the Booking Confirmation expressly marked as overriding these Terms; (b) these Terms, including their Schedules; (c) the Quote; (d) anything else. Your purchase-order terms, standard terms or release forms do not apply unless we agree in writing (clause 9.6).
1.5 Consumers. If you book as an individual for personal, non-business purposes (a "Consumer"), clause 21 also applies and prevails over anything else in these Terms.
2. Definitions
- Agency Fee — Models Island's own fee for its agency, booking-management, casting and collection services, shown separately on the Quote.
- Agreed Usage — the permitted use of the Materials stated in the Booking Confirmation: media, territory, duration, start date and any exclusivity (clause 9).
- Booking — the engagement of one or more Talent for a Job, confirmed under clause 4.
- Booking Confirmation — the confirmation we send after receiving cleared funds, setting out the Job, Talent, itemised fees, Agreed Usage and the Terms version.
- Booking Fee — the total payable for a Booking as stated in the accepted Quote: Talent Fees + Agency Fee + Permit Costs + pre-agreed Expenses, excluding later Overtime and Expenses.
- Circumvention Fee — the fee in clause 14.3.
- End User — the brand, advertiser or other person for whose benefit the Materials are made, if not you.
- Job — the shoot, show, event, performance, content production or other service described in the Quote.
- Job Date — the date and Start Time on which the Job (or the first day of a multi-day Job) is scheduled to begin.
- Materials — photographs, film, video, audio, recordings, content and other works in which a Talent's image, likeness, voice or performance appears, or which a Talent (including an influencer or UGC creator) creates, in connection with a Booking.
- Permit Costs — fees charged by authorities (and any reasonable processing charge shown on the Quote) for permits needed for the Job (clause 11).
- Quote — our itemised written offer for a Job, showing the price, Agreed Usage, cancellation terms and expiry date.
- Start Time / Call Time — the time Talent are required to be ready at the location.
- Talent Fee — the fee for a Talent's services (including any usage fee due to the Talent), which we collect on behalf of the Talent.
- Virtual Model — an AI-generated synthetic character offered by Models Island (Schedule 2).
- Working Day — Monday to Friday, excluding UAE public holidays.
3. Our role: disclosed booking agent and collecting agent
3.1 Booking agent. We represent independent Talent. When you accept a Quote, we conclude your engagement of each Talent as the Talent's booking agent and on the Talent's behalf, on the terms of these Terms and the Booking Confirmation. We are authorised by each Talent to do so.
3.2 Collecting agent. We collect the whole Booking Fee from you. We receive the Talent Fee as collecting agent for the Talent, and your payment of it to us fully discharges your payment obligation to the Talent. We pay the Talent under our Talent Terms. You must not pay any Talent directly for a Booking.
3.3 Our own services. We supply our own agency services (talent sourcing, casting, quoting, booking management, scheduling, collection, release administration and customer support) to you as principal for the Agency Fee.
3.4 We administer the Booking. You agree that we may, on behalf of ourselves and each Talent, issue Quotes and confirmations, receive notices, agree changes, handle cancellations, refunds and credit notes, and enforce these Terms. Notices to us are notices to the Talent.
3.5 Talent are independent. Talent are independent professionals. They are not our employees and not your employees, and we do not supply labour. Nothing in a Booking creates an employment, partnership or joint-venture relationship between you, us or any Talent. You must not treat any Talent as your employee, ask them to work outside the Job in the Booking Confirmation, or give directions beyond the creative and safety direction reasonably needed for the Job.
3.6 Right to work. Each Talent warrants to us that they hold a valid right to perform the work in the UAE under their own residence and work authorisation (for example a freelance permit, trade licence, employer NOC with work permit, family-sponsored work permit, Golden Visa with work permission, or UAE nationality). We record each Talent's authorisation type, number and expiry, and we re-check it when we issue a Quote and again when a Booking is confirmed. We do not offer Talent who are on a visit visa or whose authorisation is missing or expired. If a Talent's authorisation becomes invalid before the Job, we will offer you a suitable replacement or a full refund of that Talent's Talent Fee and the related Agency Fee.
3.7 Availability. We do not guarantee the availability of any Talent until a Booking is confirmed.
4. Requests, Quotes and how a Booking is made
4.1 Request and brief. You shortlist Talent and send a brief through our website or by email. A shortlist, request, "hold" or "option" is not a Booking and does not reserve any Talent.
4.2 Quote. We send an itemised Quote showing, for each Talent, the Talent Fee (collected on behalf of the Talent), and separately our Agency Fee, Permit Costs and any pre-agreed Expenses. A Quote is valid for 7 days or until the expiry shown on it, after which price and availability may change.
4.3 Acceptance. You accept a Quote by (a) ticking the acceptance box on the Quote page confirming you have read and agree to these Terms (and Schedule 2 where relevant), and (b) paying the Booking Fee in full. On acceptance we record the version and SHA-256 fingerprint of these Terms, your name, email, IP address, device/browser information, approximate location and the date and time (clause 22).
4.4 Confirmation. A Booking is confirmed only when both acceptance and cleared payment are received and the Talent's right to work has been re-checked. We then send the Booking Confirmation. If cleared funds are not received before the Quote expires, the Quote lapses.
4.5 Authority. The person accepting confirms they are at least 18 and authorised to bind the Client. If you book on behalf of an End User, clause 10 applies.
4.6 Changes. Changes to a confirmed Booking (date, time, location, hours, number of Talent, Agreed Usage) must be agreed by us in writing and may change the Booking Fee. Any increase must be paid before the Job Date.
5. Fees and payment
5.1 100% upfront. The full Booking Fee is payable before the Job Date, when you accept the Quote. We do not offer credit terms unless agreed in writing for a specific Booking.
5.2 Payment methods. Card through our payment processor Stripe, or bank transfer to the account shown on the Quote. Bank transfers must quote the Booking reference and arrive as cleared funds in full; you bear your own bank's charges. We do not add a card surcharge.
5.3 Card descriptor. Card payments appear on your statement as "MODELS ISLAND" (or a close variant set by the card network).
5.4 Currency and VAT. Prices are in UAE Dirhams (AED) unless stated. Ravinaro L.L.C-FZ is not currently registered for UAE VAT; no VAT is charged and prices are total prices. If we become VAT-registered, VAT will be shown on Quotes issued after registration on the amounts that are our own supply.
5.5 Overtime and Expenses. Overtime (clause 7) and Expenses (clause 8) arising during or after the Job are invoiced after the Job and payable within 7 days of the invoice date. Overtime is a Talent Fee collected on behalf of the Talent.
5.6 Late payment (business Clients only). If any amount invoiced under clause 5.5 or 14 is not paid when due, we may charge simple (non-compounding) interest at 9% per year from the due date until payment, and recover reasonable costs of collection. No interest is charged to Consumers.
5.7 No set-off. You must pay amounts due without deduction or set-off, unless the law requires otherwise or we agree in writing.
5.8 End User invoicing. Where you book on behalf of an End User, we may (but need not) invoice the End User, and you and the End User are jointly responsible for payment.
6. Booking hours
6.1 Minimum booking. Hourly bookings are for a minimum of 4 hours unless the Quote states otherwise. A half day is 5 hours and a full day is 10 hours, each including a meal break, unless the Quote states otherwise.
6.2 Booked time is paid time. Talent are paid for the full time booked, whether or not used. Time runs from the Call Time, or from the Talent's arrival if later only because the Talent was late.
6.3 Late start. If the Job starts late for reasons not caused by the Talent, booked time still runs from the Call Time.
6.4 Travel and fittings. Unless the Quote says otherwise: (a) travel time for Jobs outside Dubai is charged at 50% of the hourly rate; (b) fittings are charged at 50% of the hourly rate, minimum 1 hour.
6.5 Minors. Bookings involving anyone under 18 are subject to Schedule 1, which overrides this clause.
7. Overtime
7.1 If a Job runs beyond the booked hours, overtime is charged at 1.5× the Talent's hourly rate (or 1.5× the hourly equivalent of a day or flat rate) for each started 30-minute period.
7.2 Overtime must be requested by your authorised representative on set and accepted by the Talent. Talent may decline overtime. Talent under 18 never work overtime (Schedule 1).
7.3 The Talent's or our on-set record of start and finish times, confirmed by message to us on the day, is the basis for invoicing unless you dispute it in writing within 2 Working Days.
8. Expenses
8.1 Expenses approved in advance by you (for example travel outside Dubai, flights, accommodation, per diems, special wardrobe, parking, transport for Jobs ending after 11 pm) are payable by you.
8.2 Expenses we pay on your behalf are charged at cost plus a handling charge of 12.5%, shown on the Quote or invoice. Permit Costs are charged at cost plus any processing charge shown on the Quote.
8.3 Travel, accommodation or permits that must be booked before the Job may be included in the Booking Fee or invoiced in advance.
9. Agreed Usage, copyright and releases
9.1 Licence limited to the Agreed Usage. Subject to payment in full, each Talent (through us as their agent) grants you a non-exclusive licence (exclusive only if the Booking Confirmation says so) to use the Talent's image, likeness, voice and performance as captured in the Materials only for the Agreed Usage, stated in the Booking Confirmation as:
- Media (for example organic social media, paid social, website, print, out-of-home, TV, cinema, in-store, PR/editorial);
- Territory (for example UAE, GCC, worldwide);
- Duration (from first publication, or the Job Date if earlier, unless stated otherwise); and
- Exclusivity (if any, with the category and period).
9.2 Default if not stated. If any element is not stated, the narrowest reasonable reading applies: your own organic social media and website only, in the UAE, for 12 months from the Job Date, non-exclusive.
9.3 No use before payment. No use of the Materials is permitted until the Booking Fee is paid in full. The licence is automatically suspended if a payment is reversed or charged back (clause 17) or any amount due is unpaid after notice, until paid.
9.4 Further use needs approval and a fee. Any use outside the Agreed Usage — another product or brand, more media, territory or time, or use after expiry — requires our prior written approval (given only with the Talent's consent) and normally a further usage fee. Unauthorised use is a breach of these Terms and may infringe the Talent's rights under UAE law; we may charge at least the fee we would have charged for that use, without limiting the Talent's other remedies.
9.5 Prohibited uses (without separate written consent). Unless the Booking Confirmation expressly allows it and the Talent has given separate written consent in their release, you must not: (a) alter a Talent's image, face, body or voice beyond standard retouching (colour, lighting, minor blemish removal, cropping); (b) use the Materials or any Talent's likeness or voice to train, fine-tune or prompt any AI or machine-learning system, or to create a digital replica, avatar, deepfake or synthetic version of the Talent; (c) use the Materials in a way that is sexual or defamatory, or suggests the Talent personally endorses, uses or suffers from a product, service, medical condition, political or religious cause or adult service; or (d) use the Materials in breach of UAE law or Media Council content standards.
9.6 Release forms. Each Talent (or guardian) signs Models Island's per-booking release after your payment is received; it reflects the Agreed Usage and is the release for the Booking. If you or the End User need your own release or document signed, send it to us before you accept the Quote. We will ask the Talent to consider it but are not responsible if they decline. You must not present any document to Talent on set without our prior written approval; any document signed without our approval is not binding on us or the Talent.
9.7 Copyright in the Materials. As between us and you, copyright in the Materials belongs to you or your photographer or production company, subject always to the Talent's rights in their image, likeness and performance and to the Agreed Usage. Where an influencer or UGC creator creates content for you, you receive a licence to that content for the Agreed Usage on payment in full; copyright stays with the creator unless the Booking Confirmation states a full assignment.
9.8 Portfolio use. Unless agreed otherwise in writing before the Booking, the Talent and Models Island may use the Materials for self-promotion (portfolio, website, social media, comp cards, showreel) once you have first published them, or 6 months after the Job Date if unpublished, without implying a commercial endorsement. Tell us when booking if the Job is confidential or embargoed. Images of Talent under 18 are used only as permitted by Schedule 1.
9.9 Credit. Where a credit is given, it reads "[Talent name] @ Models Island".
9.10 Fashion shows and events. For runway, event or performance bookings, the fee covers the Talent's appearance at the specified show or event and use of images of it for reporting and editorial purposes only, unless the Booking Confirmation includes advertising usage.
9.11 Test shoots. Images from test or experimental shoots must not be used commercially without agreed usage and fees.
10. Photographers, production companies and End Users
10.1 If you are not the photographer, production company or End User, you must make sure each of them knows and complies with these Terms, in particular clause 9 and Schedule 1.
10.2 You are responsible for, and indemnify us and the Talent against, any breach of the Agreed Usage or these Terms by your photographer, production company, agency or End User.
10.3 If you book as an agency for an End User, you confirm you have authority to bind the End User, or you will procure that the End User accepts terms no less protective of us and the Talent.
11. Permits, lead times and compliance
11.1 Your permits. You are responsible for obtaining (or instructing us to obtain on your behalf), paying for and holding every permit and approval the Job requires, including where applicable: (a) performer / event permits from the Dubai Department of Economy and Tourism (DET) or the relevant emirate authority for Talent performing at events or in public (for example DJs, dancers, hosts and models at events); (b) filming / shoot and location permits from the Dubai Film and TV Commission (DFTC) or the relevant authority, and venue consents; (c) advertiser permits from the UAE Media Council for advertising published on social or digital media; and (d) approvals for regulated product categories. You will confirm in the booking form which permits apply and upload or show them to us before the Job Date. All Permit Costs are passed to you at cost (plus any processing charge shown on the Quote).
11.2 Lead times. Authority permits can take 5 to 21 Working Days. Bookings of DJs, dancers or other performers for public events need at least 7 days' notice before the Job Date, and longer where the authority requires. If a permit cannot be obtained in time because the request, information or documents from you came late or were incomplete, the cancellation provisions in clause 13 apply as if you had cancelled on the date we tell you the permit cannot be obtained.
11.3 No permit, no work. Talent may refuse to start, or stop, a Job for which a required permit has not been obtained or shown. If that happens for reasons within your control, the full Booking Fee remains payable.
11.4 Your advertising. You are responsible for the lawfulness of your advertising and content, including UAE Media Council content standards, consumer-protection rules on misleading advertising, and any required "ad", "paid partnership" or AI-content labels on content you publish.
11.5 Influencers and UGC creators. Where a creator is booked to publish advertising on their own social-media accounts, we book only creators who have provided a valid Media Council Advertiser Permit number and expiry (or, for a visiting creator, a permit obtained through a Council-accredited agency). You must not ask any creator to publish advertising on their own accounts unless agreed in the Booking Confirmation.
11.6 No unauthorised work. You must not ask any Talent to perform work outside the Job in the Booking Confirmation, or outside the UAE without our agreement.
12. Client conduct and Talent safety
12.1 You must ensure every Talent is treated with respect and professionalism and that their health, safety, dignity and wellbeing are protected throughout the Job, including travel you arrange. In particular you must: (a) provide a safe, lawful location and working conditions that comply with health and safety rules, and disclose in the brief any unusual conditions (heights, water, animals, extreme heat, stunts, pyrotechnics, special effects, smoke, nudity or partial nudity, physical contact, intimate scenes); (b) provide a private, secure changing area; (c) provide drinking water, rest breaks (at least 30 minutes after every 4 hours) and suitable meals for Jobs over 5 hours, taking dietary requirements into account; (d) protect Talent from extreme heat during outdoor Jobs, including shade, cooling and scheduling outside the hottest hours where possible; (e) ensure everyone you engage on the Job is suitably qualified and behaves professionally; (f) not require any Talent to do anything dangerous, unlawful, degrading or demeaning, or not described in the brief (including nudity, lingerie or swimwear not agreed in the brief); (g) not permit harassment, intimidation, discrimination or unwanted physical contact, and not offer or pressure Talent to consume alcohol or any substance; (h) hold appropriate public liability insurance for the Job and location; and (i) where the Job ends after 11 pm or at a remote location, provide or pay for safe transport for the Talent.
12.2 Right to stop. If a Talent reasonably believes their safety or dignity is at risk, or is asked to do something outside the brief, the Talent may pause or end the Job. If that happens because of your breach of this clause, the full Booking Fee remains payable and no refund is due.
12.3 Minors. Any Job involving a person under 18 is subject to Schedule 1. Breach of Schedule 1 is a material breach of these Terms.
12.4 Wardrobe. If you ask Talent to bring their own wardrobe, we cannot guarantee exact items; for specific wardrobe, engage a stylist.
13. Cancellation, postponement and no-shows
13.1 Why amounts are retained. When a Booking is confirmed, each Talent reserves the date for you and turns down other work, and we commit our casting, scheduling and administration. The amounts retained below are a genuine pre-estimate of the Talent Fees committed to the reserved date and of our committed costs, not a penalty. Of any amount retained, the Talent's share of their Talent Fee is paid to the Talent as compensation for the reserved date under our Talent Terms; the balance compensates our committed services. You agree these amounts are fair and reasonable.
13.2 Cancellation by you. You may cancel a confirmed Booking by email to hello@modelsisland.com or through your booking page. The time of cancellation is when we receive your notice. Measured against the Start Time:
| When we receive your cancellation | What you get |
|---|---|
| More than 7 days (more than 168 hours) before | Credit note for 100% of the Booking Fee (default), or, if you ask for it in writing, a cash refund of 50% of the Booking Fee |
| 48 hours to 7 days (48 to 168 hours) before | Cash refund of 25% of the Booking Fee |
| Less than 48 hours before, or no-show by you | No refund |
13.3 Credit note is the default. For cancellations more than 7 days ahead we issue a credit note unless, in your cancellation notice or within 7 days after it, you expressly ask for the 50% cash refund instead. Once a credit note is issued or a refund paid, that choice is final and is full settlement of your entitlement for that cancellation.
13.4 Credit notes. A credit note: (a) is worth the stated amount in AED; (b) can be used against any future Booking of any Talent through Models Island; (c) is valid for 12 months from issue; (d) is personal to you and not exchangeable for cash, except where clause 21 requires; and (e) is subject to these Terms when used.
13.5 Unused Permit Costs and Expenses. Permit Costs and Expenses included in the Booking Fee that have not been incurred and can be recovered are refunded in full in addition to the amounts above. Costs already incurred and not recoverable (for example authority fees and non-refundable flights) are not refunded.
13.6 Rebooking credit (mitigation). If you cancel less than 7 days before the Start Time and, within 7 days after cancelling, re-book the same Talent through us for a new Job, we credit 50% of the amount you lost against the new Booking.
13.7 Postponement. A request to move a Job is a cancellation unless we and the Talent agree the new date in writing. If we agree a postponement requested more than 7 days before the Start Time, no charge applies (other than any price difference). If a postponed Booking is later cancelled, the tier is measured from the earlier of the original and new Start Times.
13.8 Weather-permitting Bookings. A Booking is weather-permitting only if the Quote says so. You may postpone it once without charge by notice at least 24 hours before the Start Time, to a date within 14 days that the Talent can make. Otherwise clause 13.2 applies.
13.9 Multi-day Bookings. For Jobs of 3 or more days, the tiers apply to the whole Booking, measured from the Start Time of the first day.
13.10 Refunds. Cash refunds are made to the original payment method (or the bank account that paid) within 14 days of the cancellation or of your written request under clause 13.3, without deduction of payment-processing costs.
14. Non-circumvention
14.1 What you agree. For 12 months after the last Job Date of any Booking (or, if you received a Talent's profile or Quote but did not book, 12 months after we sent it), you will not, directly or through any other person or agency, engage, book, hire or employ any Talent introduced to you by Models Island for services of the kind Models Island offers, except through Models Island.
14.2 "Introduced" means any Talent whose profile, portfolio, share link, contact or Quote we provided to you, or whom you booked through us.
14.3 Circumvention Fee. If you breach clause 14.1, you must pay us a Circumvention Fee equal to 20% of all fees paid or payable to the Talent (or any intermediary) for each engagement in breach or, where those fees are not known, 20% of our then-current rate for a comparable Booking. You agree this is a genuine pre-estimate of the Agency Fees we would have earned. You must give us the information we reasonably need to calculate it. This clause does not prevent you engaging a Talent directly where we have declined the work in writing.
14.4 Contact with Talent. All negotiations about fees, usage, extensions and future work with Talent we introduced must go through Models Island. Any agreement made directly with a Talent outside these Terms does not vary a Booking and is not binding on us.
14.5 Our staff. You will not solicit or employ any member of our staff for 6 months after the last Job Date.
15. Problems during a Job
15.1 Tell us straight away. If you are not satisfied with a Talent, tell us as soon as possible and in any event within the first 90 minutes of the Job (or as soon as an issue arises later), so we can try to fix it or provide a replacement. Concerns not raised on the day will be considered only if they could not reasonably have been raised then.
15.2 Talent late or absent. If a Talent is late, time lost (if not made up) is deducted from the Talent Fee. If a Talent fails to attend, we will at your choice (a) provide a suitable replacement you approve, or (b) refund that Talent's Talent Fee and the related Agency Fee in full. Illness or emergency affecting a Talent is handled the same way.
15.3 Cancellation by us. We will cancel a Booking only for a good reason (for example Talent illness or emergency, a Talent's right to work becoming invalid, a safety concern, your breach of these Terms, or force majeure). If we cancel for a reason other than your breach, we will at your choice offer a suitable replacement or refund the full amount paid for the affected Talent within 14 days.
15.4 These are your main remedies for Talent non-attendance, subject to clause 16.
16. Liability
16.1 What we are not excluding. Nothing in these Terms limits or excludes liability for fraud, gross negligence or wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be limited or excluded under UAE law.
16.2 Cap. Subject to clause 16.1, our total liability (as agent and for our own services) and the liability of each Talent to you for all claims arising out of or in connection with a Booking, whether in contract, tort or otherwise, is limited to the Booking Fee paid for that Booking.
16.3 Indirect loss. Subject to clause 16.1, neither we nor any Talent are liable for loss of profit, revenue, business, goodwill or anticipated savings, wasted production costs, or indirect or consequential loss.
16.4 Agent's responsibility. As booking agent we are responsible for our own services and for administering the Booking with reasonable skill and care. Each Talent is responsible for their own performance. To the extent permitted by law, we are not liable for loss caused by a Talent's acts or omissions that we could not reasonably have prevented, but we will assist you in pursuing any claim against the Talent.
16.5 Your insurance. You are responsible for insuring your production, including against cancellation, weather and non-attendance of Talent.
17. Payment disputes and chargebacks
17.1 Contact us first. If you have a concern about a charge, you agree to contact us at hello@modelsisland.com with the Booking reference before contacting your card issuer, so we can resolve it quickly. We reply within 3 Working Days. This does not limit any right you have with your bank.
17.2 What you acknowledge. By accepting a Quote you acknowledge that: (a) the itemised Booking Fee, payment timing, the cancellation table in clause 13.2 and the Agreed Usage were shown to you on the Quote page before you paid; (b) the Job is a service delivered on the Job Date in the Booking Confirmation, which may be after payment; (c) the charge appears as "MODELS ISLAND"; and (d) a credit note issued under clause 13.3 is full settlement of your refund entitlement for that cancellation.
17.3 Evidence. You agree that we may provide to Stripe, the card networks and your card issuer the records of your acceptance (Terms version and fingerprint, date and time, IP address, device/browser information, approximate location, name and email), the Quote, Booking Confirmation, our communications with you, and evidence that the Job was delivered (call sheets, attendance and time records and, with permission, images of Talent on set).
17.4 If a chargeback is raised. If you raise a chargeback or payment dispute for an amount payable under these Terms: (a) the amount remains owed to us and to the Talent; (b) the licence in clause 9 is suspended until the dispute is resolved in our favour or the amount is repaid; (c) for business Clients, you reimburse the dispute fees and reasonable costs we incur if the dispute is resolved in our favour or found unjustified; and (d) we may decline further Bookings until it is settled.
18. Force majeure
18.1 Neither party is responsible for failure or delay caused by events beyond its reasonable control that could not reasonably have been foreseen or avoided, including natural disaster, extreme weather (including an official red or orange weather warning for the location), flood, fire, epidemic or public-health measures, war, terrorism, civil unrest, official periods of national mourning or government orders cancelling events, refusal or withdrawal of a permit by an authority for reasons not caused by either party, closure of venues or airspace, and failure of public utilities ("Force Majeure").
18.2 If a Job cannot go ahead because of Force Majeure, we will first offer to move it to a new date within 6 months, subject to Talent availability. If that is not possible or you prefer, you receive a credit note for 100% of the amounts paid or, if you ask for it in writing, a refund of the amounts paid less Talent Fees and third-party costs (including Permit Costs) already irrecoverably committed for the Job, which we will itemise.
18.3 Force Majeure does not excuse payment obligations already due before the event.
18.4 This clause does not limit any rights either party has under UAE law where performance becomes impossible or excessively onerous.
19. Indemnity
19.1 You indemnify us and the Talent against losses, claims, fines, costs and reasonable legal fees arising from: (a) any use of the Materials outside the Agreed Usage or in breach of clause 9.5; (b) your or your End User's advertising, products or content, including claims that they are misleading or unlawful; (c) your failure to obtain or hold a permit or approval under clause 11; (d) injury or loss caused by unsafe conditions at a location you control or by people you engage; and (e) breach of Schedule 1 or Schedule 2.
19.2 We will notify you promptly of any claim and act reasonably in dealing with it.
20. Data protection and confidentiality
20.1 We process personal data under our Privacy Policy (www.modelsisland.com/privacy-policy). Where you receive personal data of Talent (names, photographs, measurements, contact details, call sheets), you must use it only for the Booking, keep it secure, not publish it except within the Agreed Usage, not contact Talent except about the Job, and delete it when no longer needed.
20.2 Children's profiles. Profiles of Talent under 18 are private. We share them only through password-protected share links issued to you personally. You must not forward a share link or its password, download, screenshot, copy or store the profiles, or show them to anyone outside your team working on the Booking. Share links expire, may be revoked at any time, and every view is logged with the IP address and time. You must not share any personal data of a child (other than first name and images within the Agreed Usage) or publish anything identifying where a child lives, studies or can be found.
20.3 Each party keeps the other's confidential information (briefs, storyboards, unpublished campaigns, rates and Talent details) confidential, except as needed to perform the Booking or as required by law.
21. Consumers
If you are a Consumer, the following applies and overrides anything else in these Terms:
21.1 Nothing in these Terms affects your rights under the UAE Consumer Protection Law and its Executive Regulations.
21.2 If a service is not provided as agreed, you may choose a full refund, a partial refund reflecting the shortfall, or performance of the service again, as the law provides.
21.3 Clauses 5.6 (interest), 5.8 (End User invoicing) and 17.4(c) (dispute costs) do not apply to you.
21.4 Clause 16 does not limit any liability that cannot be limited against a consumer under UAE law.
21.5 You can complain at hello@modelsisland.com or +971 58 941 0099. We acknowledge within 2 Working Days and aim to resolve within 14 days. You may also contact the UAE Ministry of Economy or the Dubai Department of Economy and Tourism consumer-protection services.
21.6 An Arabic translation of these Terms is available on request.
22. Electronic acceptance and records
22.1 You agree that these Terms, Quotes, Booking Confirmations, notices and release forms may be made, signed and delivered electronically, and that ticking the acceptance box and paying (or typing your name or drawing your signature where requested) is your electronic signature with the same effect as a handwritten signature.
22.2 For each acceptance we keep a secure record of the document version and its SHA-256 fingerprint, your name, email, the date and time (UTC and Dubai time), IP address, device/browser information, approximate location derived from your IP address, the page on which you accepted, and a fingerprint of the information submitted. You agree this record is admissible evidence of your acceptance and of the version accepted. We email you a copy of, or a permanent link to, the accepted version.
22.3 We keep every published version of these Terms so the version you accepted can always be produced.
22.4 We may update these Terms. Updated Terms apply only to Quotes accepted after the update; confirmed Bookings remain under the version accepted for them.
23. General
23.1 Entire agreement. These Terms, the accepted Quote and the Booking Confirmation are the entire agreement for a Booking. You confirm you have not relied on any statement not set out in them. This does not exclude liability for fraud or for information we were legally required to disclose before you contracted.
23.2 Talent rights. The Talent are parties to their engagement through us as their agent. We may enforce clauses 9, 12, 14, 17, 19 and Schedule 1 for ourselves and on the Talent's behalf.
23.3 Assignment. You may not transfer your rights under a Booking without our written consent. We may transfer our rights to an affiliate or successor operating the Models Island business, on notice to you.
23.4 Severability. If a court finds any provision invalid or unenforceable, or reduces any amount payable under it, the rest of these Terms continues and the provision applies to the maximum extent permitted.
23.5 No waiver. A delay in enforcing a right is not a waiver of it.
23.6 Notices. Notices to us go to hello@modelsisland.com; notices to you go to the email on your account or Quote. Email notices are received when sent unless a delivery failure message is received.
23.7 Language. These Terms are written in English. If translated, the English version prevails to the extent permitted by law; if a court requires a translation, a certified Arabic translation will be used.
24. Governing law and disputes
24.1 These Terms and every Booking are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai.
24.2 Before starting proceedings, the parties will try in good faith to settle any dispute by negotiation for at least 14 days after written notice (without preventing urgent applications to protect rights or recover undisputed amounts).
24.3 The Courts of Dubai have exclusive jurisdiction, without affecting a Consumer's right to bring a claim before any court or authority with jurisdiction under UAE law.
Schedule 1 — Minors on Set
This Schedule applies to every Booking involving a Talent under 18 ("Minor") and overrides any other provision of these Terms.
S1.1 Private roster and share links. Minors are not shown on our public website. We share Minors' profiles only with vetted Clients through password-protected, expiring share links (clause 20.2). You must not attempt to contact a Minor or guardian except through us.
S1.2 Artistic participation only. We book Minors only for occasional, age-appropriate artistic, modelling and performance participation agreed by the guardian for each Booking. We will not accept a Booking that would amount to employment of a child prohibited by UAE law, and we may decline or cancel any Booking involving a Minor to protect the child (with a full refund for that Minor unless you breached this Schedule).
S1.3 Guardian present. A parent or legal guardian (or an adult chaperone the guardian has authorised to us in writing in advance) must be with the Minor at all times, including during changes, breaks and travel you arrange. You must allow the guardian to see the Minor at all times. No member of your team or production crew may be alone with a Minor.
S1.4 Hours. Unless the guardian agrees in writing to a shorter schedule:
| Age | Maximum time on set per day (including breaks) | Other limits |
|---|---|---|
| Under 3 | 2 hours | Breaks whenever the child needs; no continuous work over 30 minutes |
| 3 to 5 | 4 hours | Break at least every hour |
| 6 to 14 | 5 hours | Break at least every 2 hours |
| 15 to 17 | 6 hours, including at least 1 hour of breaks | No more than 4 hours continuously |
S1.5 Times. No Minor may work between 7 pm and 7 am. No overtime for Minors. Bookings must not conflict with school hours unless on a school holiday or weekend, or the guardian confirms in writing that the absence is authorised.
S1.6 Content restrictions. You must not ask a Minor to take part in, and the Materials must not include, any content that is sexualised, suggestive or adult-styled, nudity or partial nudity, lingerie, swimwear posing (other than age-appropriate swimwear in a family context agreed in the brief and approved by the guardian), or anything frightening, dangerous or demeaning. Minors must not be used to advertise, or be shown near, alcohol, tobacco or vaping, gambling, weapons, adult products or services, or any product unlawful for a child to use. These restrictions apply even if a guardian consents.
S1.7 Safety and welfare. Provide shade, water, snacks, age-appropriate rest space and a private changing area for the Minor and guardian, and comply with clause 12. Outdoor work in heat must be short and in cooler hours.
S1.8 Privacy. You must not publish or disclose a Minor's surname, school, home area, contact details or location data, or geotag content in a way that reveals where the Minor can be found.
S1.9 Permits. If the Job requires any authority approval relating to a Minor's participation, tell us before accepting the Quote; you are responsible for obtaining it and its cost is a Permit Cost.
S1.10 Right to stop. The guardian may stop the Minor's participation at any time if the Minor is distressed or unwell or these rules are not followed. If the guardian stops because these rules were not followed, the full Booking Fee remains payable.
S1.11 Backup children. If you book a backup child, the backup is paid at 50% of the rate if not used and 100% if used.
Schedule 2 — Virtual Models (AI-generated characters)
This Schedule applies when you license a Virtual Model. For Virtual Models, Models Island contracts as principal (there is no Talent and no Talent Fee).
S2.1 What a Virtual Model is. A Virtual Model is a synthetic character created by Models Island using AI and digital tools. A Virtual Model is not a real person and is not intentionally based on, or designed to resemble, any real person. Virtual Models are labelled as AI-generated on our website and have reference numbers beginning with "V".
S2.2 Our rights. Models Island owns or controls the Virtual Model, including its name, persona, appearance, design files, reference images, prompts, models, styles and all images and video we produce of it ("Virtual Model IP"). We license you the specific images or video we deliver ("Virtual Model Content") only for the Agreed Usage, on the same terms as clause 9 (except clause 9.6). We grant these rights to the extent any rights exist in the Virtual Model Content. Because the law on copyright in AI-generated material is still developing, we do not warrant that Virtual Model Content is protected by copyright or that you can stop others copying it.
S2.3 Your restrictions. You must not: (a) present a Virtual Model as a real person, or as a real customer, user, employee or expert, or use it for a testimonial, review or claim of personal results; (b) use a Virtual Model in any sexual or sexually suggestive content, or in any way that depicts or suggests a child in a sexual context (prohibited by UAE law whether real, virtual or simulated); (c) use a Virtual Model to depict UAE national symbols, leaders, public officials or any real public figure, or for political, religious or sectarian messaging; (d) use a Virtual Model in content that breaches UAE Media Council content standards, UAE consumer-protection law, or the law of any country where you publish; (e) modify the Virtual Model's appearance beyond the Agreed Usage, create derivative or similar characters, or use any Virtual Model Content, name or likeness to train, fine-tune or prompt any AI system or create another synthetic character; or (f) use Virtual Model Content after the Agreed Usage ends.
S2.4 Disclosure and labelling. You are the publisher of your advertising and are responsible for any disclosure that content features an AI-generated character, or is advertising, as required by law or platform rules where you publish (for example EU AI Act transparency rules, platform "AI-generated" labels, and advertising codes elsewhere). We recommend a clear label such as "AI-generated model" or "#AIgenerated" on all public content and supply files with available content-provenance metadata, which you must not remove. You must not remove or obscure any watermark or provenance information.
S2.5 Resemblance. If anyone claims a Virtual Model resembles a real person, we will investigate and may modify or withdraw it. If we withdraw it, you will stop new uses of the affected content on notice and we will, at your choice, provide replacement content or refund the unexpired portion of the fee for the affected content.
S2.6 Liability. Clause 16 applies. You indemnify us under clause 19 for your prompts, briefs, products, claims and the way you publish Virtual Model Content.
S2.7 Cancellation. Clause 13 applies to Virtual Model Bookings. Once we have delivered Virtual Model Content, the Booking cannot be cancelled.
